Although there should be NP problems with it. It is never recommended to install or upgrade software with an overclocked anything. Any errors thrown into the system while upgrading will continue to mess up the system as you use it.
If you're asking if a once overclocked CPU can do an upgrade. Then the answer is yes.

Yes, but if you are wondering in the order your question seems to imply, update the firmware to 1.2 then overclock, rather than the other way around.
