It doesn't overwrite the NAND (pros&cons).
I would only shell out for a HD2 if it was alot cheaper and opt to put Froyo on it (check xdadevs).
If your getting it instore or on a plan, do the math and you'll see it is still expensive (if i'm not mistaken).

HD2 is the only WinMo (not the Kins) with a Capacitative touch panel that I know of btw.
